These Terms and Conditions govern your use of this website and any purchase you make through it. By accessing or using this site, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, please do not use the website.

We may update or revise these terms from time to time. Any changes will be posted on this page, and your continued use of the website after changes are made constitutes acceptance of those changes.

2. Use of the Website

You agree to use this website only for lawful purposes and in a way that does not infringe on the rights of, restrict, or inhibit the use of the website by any third party. You must not transmit or upload any harmful, offensive, or disruptive material.

We reserve the right to restrict or terminate your access to the website at any time without notice.

3. Product Descriptions and Pricing

We strive to ensure that all product descriptions, images, and prices listed on the website are accurate. However, we do not guarantee that all content is error-free, complete, or current. Not that screens can be subtly different when displaying colours in comparison to fabrics and real life. We endeavor to be as accurate as possible in the images used, but colours may alter slightly when products are received.

In the event of a pricing or product description error, we reserve the right to correct it and cancel or refuse any orders placed at the incorrect price.

4. Intellectual Property

All content on this website, including text, images, logos, graphics, and product designs, is the property of Spoke and Stone or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, copy, distribute, or use any content from this website for commercial purposes without prior written consent from Spoke and Stone.

Spoke and Stone will not be liable for any direct, indirect, incidental, or consequential damages arising from your use of, or inability to use, the website or products purchased through it.

6. Returns and Refunds Policy

At Spoke and Stone, we want you to love your gear. If you're not satisfied with your purchase, we offer a 100% money-back guarantee under the following conditions:

  • The item must be returned within 30 days of receipt.

  • The item must be unused, in original condition, and with original tags and packaging intact.

  • Returns must be sent at the buyer’s expense unless the item is faulty or incorrect.

Refunds will be processed to the original payment method once the returned item is received and inspected.

NOTE: Custom clothing is unable to be returned once final sign off has been given. The exception to this is if there is a manufacturers fault with material or manufacture which is covered under the consumer guarantees act.

7. Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Any disputes arising out of or in connection with the website or any purchases made will be subject to the exclusive jurisdiction of the New Zealand courts.

SPOKE & STONE BRAND AMBASSADOR PROGRAMME

TERMS & CONDITIONS (NEW ZEALAND)

Operated by: Spoke & Stone Ltd (“Spoke & Stone”, “we”, “us”, “our”)

1. Programme Overview

The Spoke & Stone Brand Ambassador Programme (“Programme”) allows approved ambassadors (“you”, “Ambassador”) to earn commission by promoting Spoke & Stone products through approved referral links or codes.

Participation in the Programme constitutes your full acceptance of these Terms & Conditions.

2. Eligibility

  • You must be aged 18 or over and a New Zealand resident.

  • Approval is at our discretion; we may accept or decline any application without explanation.

  • We reserve the right to revoke Ambassador status at any time for breach of these Terms or conduct inconsistent with our brand values.

3. Ambassador Responsibilities

  • You agree to promote Spoke & Stone products honestly and in good faith.

  • You will not make misleading or unsubstantiated claims, in accordance with the Fair Trading Act 1986.

  • You must not create your own discounts or offers without our written approval.

  • You are responsible for ensuring that all content you publish complies with the Advertising Standards Authority (ASA) Code of Conduct and that any paid or sponsored content is clearly disclosed (e.g. “#SpokeAndStonePartner”).

  • You may not use paid advertising (e.g. Google Ads, Facebook Ads) containing our brand name, logo, or trademarks without consent.

4. Commissions and Payments

  • Ambassadors earn 10 % commission on the GST-exclusive purchase price of any product purchased through their referral link or code.

  • Commissions are calculated on completed, paid sales only (excluding shipping, GST, refunds, and discounts).

  • Payments are made monthly, following the end of each calendar month..

  • Payments are made via bank transfer.

  • Ambassadors are responsible for declaring income to Inland Revenue (IRD) and for any tax obligations arising from their earnings.

  • Returned or refunded orders will have commissions reversed or adjusted accordingly.

5. Intellectual Property

  • All logos, designs, product images, and materials provided by Spoke & Stone remain our property.

  • You are granted a limited, non-exclusive licence to use such materials for the sole purpose of promoting our products while participating in the Programme.

  • You must not alter or misuse our trademarks or brand identity.

6. Termination

We may suspend or terminate your participation at any time without notice if:

  • You breach these Terms, or

  • You act in a way that may harm our reputation, brand, or customers.

You may terminate your participation at any time by notifying us in writing.
Upon termination, all referral links and codes will be disabled.

7. Limitation of Liability

To the maximum extent permitted by New Zealand law, Spoke & Stone is not liable for any indirect, incidental, or consequential losses arising from your participation in the Programme.
Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 if you are a consumer.

8. Changes to the Programme

We may modify or discontinue the Programme (including commission rates) at any time by giving at least 14 days’ notice via email or website update.

9. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts.

PRIVACY POLICY (NEW ZEALAND)

1. Purpose

This Privacy Policy explains how Spoke & Stone Ltd (“we”, “us”, “our”) collects, uses, and protects personal information provided by Brand Ambassadors in accordance with the Privacy Act 2020 (NZ).

2. Information We Collect

We may collect the following information when you apply or participate:

  • Full name and contact details (email, phone, address)

  • Social media handles or website links

  • Bank or PayPal details for commission payments

  • Tax or business details (if provided)

  • Analytics data about referrals, sales, and commissions

3. How We Use Your Information

We use your personal information to:

  • Manage and operate the Ambassador Programme

  • Communicate with you about updates, payments, and promotions

  • Process and record commission payments

  • Feature or promote ambassadors on our website or social media (only with your consent)

  • Comply with our legal, tax, and reporting obligations

4. Storage and Security

We store your information securely using encrypted systems within Wix, GoAffPro (or other integrated affiliate software), and secure cloud services.
Access is limited to authorised staff only.
We take reasonable steps to protect personal data from unauthorised access, loss, or misuse.

5. Disclosure of Information

We may share your information with:

  • Payment processors (e.g. PayPal, Stripe, or New Zealand banks)

  • Platform providers (e.g. Wix, GoAffPro) for affiliate tracking

  • Professional advisors (e.g. accountants) for financial compliance
    We do not sell or rent your data to third parties.

6. Access and Correction

Under the Privacy Act 2020, you have the right to access and request correction of your personal information at any time.
